Terms of Service

These Terms of Service ("Terms") govern your use of the UX Team Partner website, portal, and programs (together, the "Services"). By applying to or participating in the Partner Program, you agree to these Terms.

1. Eligibility

• You must be a registered business to participate.
• Participation requires application approval by UX Team.

2. Partner Portal Use

• You are responsible for keeping login credentials secure.
• You may only use the portal for legitimate program participation (deal submissions, accessing resources, downloading collateral).
• Misuse (spamming, reverse engineering, or unauthorized use) may result in termination.

3. Program Participation & Partner Economics

• Referral Partners: Earn 10–15% commission on UX fees collected for 12 months per referral, based on partner tier.
• Co-Branded Delivery Partners: Earn 10–15% commission on UX fees collected for 12 months, with both brands visible to the client.
• White-Label Partners: Mark up UX Team's base costs and bill the client directly. Partner retains margin difference (not commission-based).
• All partners receive first right of refusal on follow-on development work.
• Deliverables may be white-labeled or co-branded in accordance with the Partner Agreement.

4. Payments

• Partner commissions are calculated from invoiced and collected amounts.
• Payments are issued in accordance with the Partner Agreement or SOWs.

5. Intellectual Property & Deliverable Ownership

• All deliverables created for client engagements under the Partner Program become the property of the end client upon full payment.
• Partners may white-label or co-brand deliverables in accordance with the Partner Agreement for approved client engagements.
• UX Team retains ownership of internal methodologies, templates, and proprietary processes used to create deliverables.

6. Disclaimers & Limitation of Liability

• The Services are provided "as is" without warranties of any kind.
• UX Team's total liability under these Terms is limited to the amount of commissions paid to you in the prior 12 months.

7. Termination

• UX Team may suspend or terminate participation for breach of these Terms.
• You may terminate participation at any time by written notice, subject to any signed agreements.

8. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflicts of law principles.
